These Terms of Service (“Terms”) constitute a legally binding agreement between Sidibe Digital Solutions Ltd. (“Agency,” “we,” “us,” or “our”) and the client entity (“Client,” “you,” or “your”) accessing or using our services.
By using our website (www.localunlock.com) or purchasing our services, you agree to these Terms.
1. Services
Sidibe Digital Solutions Ltd. provides AI-driven business solutions, including but not limited to:
Website setup and design.
Deployment of AI Chatbots and AI Voice Agents/Receptionists.
Email automation and workflow setup.
2. Eligibility & Use
B2B Only: Services are strictly for business-to-business (B2B) use. You represent that you are acting for purposes relating to your trade, business, craft, or profession.
Age: You must be at least 18 years old and have the legal authority to bind your entity to these Terms.
3. Payments, Subscriptions & Refunds
Fees: Services are billed as a one-time setup fee, a monthly subscription, or a combination of both, as specified in your service agreement or checkout page.
No Refunds: Due to the digital and service-based nature of our work, all sales are final. We do not offer refunds or prorated credits for cancellations.
Cancellations: You may cancel your subscription by providing at least one (1) week's notice before the next billing cycle.
4. Intellectual Property
Agency Tools: We retain all rights, titles, and interests in our proprietary methods, AI prompts, software configurations, and tools used to deliver the service.
Client Data & Outputs: You own the specific data and results generated by the AI (e.g., booking logs, lead info).
Feedback: If you provide us with suggestions or feedback, we may use them without restriction or compensation to improve our services.
5. AI Specific Clauses & Disclaimers
AI Hallucinations: You acknowledge that AI technology can sometimes provide inaccurate, incomplete, or biased information ("hallucinations"). We are not liable for any errors, scheduling mistakes, or misinformation provided by the AI chatbots or voice agents to your prospects.
Monitoring: It is the Client’s responsibility to monitor AI interactions and ensure they meet the Client’s quality standards.
Prohibited Industries: We do not provide services to businesses involved in illegal drugs, adult content, gambling, or any activity prohibited by Cyprus or EU law.
6. User Responsibilities
You agree not to:
Use the AI agents to harass, spam, or deceive individuals.
Attempt to reverse-engineer our AI configurations or tools.
Use the service for any purpose that violates local or international laws.
7. Termination & Suspension
We reserve the right to instantly suspend or terminate your access without notice if:
You fail to pay agreed-upon fees.
You violate these Terms or engage in fraudulent activities.
Your use of the AI agents causes a technical threat to our infrastructure.
8. Limitation of Liability
To the maximum extent permitted by law, Sidibe Digital Solutions Ltd. shall not be liable for any indirect, incidental, or consequential damages (including loss of profit or data). Our total liability for any claim arising out of these Terms shall not exceed the total amount paid by you to us in the one (1) month preceding the
claim.
9. Governing Law & Dispute Resolution
Governing Law: These Terms are governed by the laws of the Republic of Cyprus.
Mandatory Negotiation: Before initiating any formal legal action, both parties agree to attempt to resolve the dispute through good-faith negotiations for a period of 30 days.
Jurisdiction: Any legal proceedings shall be conducted in the courts of Paphos, Cyprus.
